TERMS AND CONDITIONS

Schwarz Events, Inc. d/b/a Rockoly

These Terms and Conditions (this “Agreement”) govern the services provided by Schwarz Events, Inc., a corporation doing business as Rockoly (“Rockoly”) to the client identified in the applicable proposal, invoice, or booking confirmation (“Client”).

Rockoly will provide the culinary, virtual, or in-person event services described in the applicable proposal (the “Event”) on the scheduled date (the “Event Date”) (collectively, the “Services”).

By approving a proposal, submitting payment, or otherwise confirming a booking, Client enters into this Agreement and agrees to be legally bound by these Terms.


1. GENERAL TERMS (APPLICABLE TO ALL EVENTS)

1.1 Proposal Validity

All pricing is valid for seven (7) calendar days from the date issued unless otherwise stated in writing. All prices are in United States Dollars (USD).


1.2 Payment Terms

Full payment is due no later than ten (10) calendar days prior to the Event Date unless otherwise agreed in writing.

Rockoly will begin preparation and coordination upon receipt of payment.

Rockoly reserves the right to suspend, delay, reschedule, or cancel Services if payment is not received as required, without liability.

Late payments may incur interest at the maximum rate permitted by law.


1.3 Deposit

Any initial booking payment (the “Deposit”), typically $250 unless otherwise stated, is non-refundable except as expressly set forth in this Agreement.


1.4 Personal Data

Rockoly processes personal data solely for the purpose of organizing and delivering the Event, including participant coordination, dietary accommodations, and logistics.

Personal data will not be sold or used for third-party marketing.


1.5 Cancellation Policy

All cancellations must be made in writing.

  • Fourteen (14) or more days prior to the Event Date: refund issued minus Deposit and any incurred costs
  • Thirteen (13) or fewer days prior: all payments are non-refundable
  • Reductions in participant count, deliveries, or scope within the applicable window are non-refundable

1.6 Rescheduling Policy

All rescheduling is subject to availability.

  • Fourteen (14) or more days notice: no fee
  • Seven (7) to thirteen (13) days notice: rescheduling fee may apply
  • Less than seven (7) days notice: increased rescheduling fee plus incurred costs
  • Within forty-eight (48) hours: maximum rescheduling fee plus incurred costs

1.7 Express Booking Fee

Events booked within fourteen (14) days of the Event Date may be subject to an express booking fee due to expedited coordination and sourcing.


1.8 Service Scope

Services are provided strictly as outlined in the proposal.

All quantities, materials, staffing, and deliverables are based on the confirmed participant count and selected scope. Rockoly does not guarantee services beyond that scope.

Rockoly may make reasonable substitutions of equal or greater quality due to availability, logistics, or unforeseen circumstances.

Client acknowledges that the Event is an experience-based service and exact replication of marketing materials is not guaranteed.


1.9 Third-Party Providers

Rockoly may engage third-party vendors, including chefs, delivery providers, logistics partners, and contractors.

Such providers are independent contractors and not employees or agents of Rockoly.

Rockoly is not responsible for delays, substitutions, or performance issues caused by third parties outside its reasonable control but will make good faith efforts to resolve issues.


1.10 Delivery and Risk of Loss

For any shipped items, including ingredient kits or materials, risk of loss transfers to the recipient upon delivery.

Rockoly is not responsible for lost, stolen, delayed, or misdelivered packages once confirmed delivered by the carrier.


1.11 Force Majeure

Rockoly is not responsible for delays or failure to perform due to events beyond its reasonable control, including but not limited to weather, natural disasters, public health events, government actions, transportation disruptions, or supply chain issues.

In such cases, Rockoly may, in its reasonable discretion, offer rescheduling, credit, or partial refund based on services performed and costs incurred.


1.12 Minimum Service Failure

A “Minimum Service Failure” is a material failure to deliver core components of the Services such that the primary purpose of the Event is substantially impacted.

Minor substitutions, delays, or adjustments made in good faith do not constitute a failure if the Event is delivered in substantially similar form and quality.

In the event of a Minimum Service Failure, Rockoly may, in its reasonable discretion, offer:

  • Partial refund proportional to impacted Services
  • Credit toward a future event
  • Additional or replacement services

1.13 Limitation of Liability

To the fullest extent permitted by law, Rockoly’s total liability shall not exceed the total amount paid by Client for the Services.

Rockoly shall not be liable for indirect, incidental, consequential, or special damages, including loss of revenue, business, or reputation.

Rockoly is not liable for personal injury, allergic reactions, or food-related incidents except in cases of gross negligence or willful misconduct.


1.14 Indemnification

Client agrees to indemnify, defend, and hold harmless Rockoly from any claims, damages, or liabilities arising from Client’s actions, guest conduct, venue conditions, or breach of this Agreement.


1.15 Recording and Intellectual Property

Any Event recordings may be used internally by Client for up to fourteen (14) days unless otherwise agreed in writing.

All materials, content, and instruction remain the intellectual property of Rockoly and may not be reproduced, distributed, or publicly shared without prior written consent.


1.16 Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.


1.17 Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or agreements.


2. VIRTUAL EVENTS

2.1 Dietary Restrictions

Client must provide dietary restrictions at least fourteen (14) days prior to the Event.

Rockoly will make reasonable efforts to accommodate requests but cannot guarantee all restrictions can be met.


2.2 Ingredient Substitutions

Ingredients may be substituted due to availability, regional differences, or supply constraints.

Substitutions will be of comparable quality and function. No refunds will be issued for substitutions that do not materially impact the Event.


2.3 Delivery Limitations

Rockoly cannot guarantee delivery to all locations.

If delivery is not possible, affected participants may be required to source ingredients locally. Refunds will apply only to the undelivered portion.


2.4 Alcohol Policy (Virtual)

Rockoly does not sell, transfer, or take title to alcohol.

Where included, Rockoly may coordinate alcohol delivery through licensed third-party retailers only, where legally permitted in the recipient’s jurisdiction.

All alcohol transactions occur directly between the participant and the licensed retailer.

Participants agree that:

  • They are of legal drinking age
  • They will comply with all applicable laws
  • They will provide valid identification if required

Rockoly is not responsible for alcohol sale, delivery, compliance, or consumption.


3. IN-PERSON EVENTS

3.1 Participant Count

Pricing is based on the agreed participant count.

Rockoly does not guarantee resources for additional participants beyond this count.

Additional participants may be accommodated at adjusted pricing if feasible.


3.2 Dietary Restrictions

Client must provide dietary information at least ten (10) days prior to the Event.

Rockoly is not responsible for undisclosed restrictions.


3.3 Alcohol Service (In-Person)

Where alcohol is included:

  • Service complies with applicable laws
  • Licensed and insured bartenders will be provided where required
  • Guests must be twenty-one (21) or older

Client assumes responsibility for guest conduct related to alcohol consumption.


3.4 Compliance with Laws

Both parties agree to comply with all applicable federal, state, and local laws.


4. IN-OFFICE EVENTS

4.1 Client Responsibilities

Client is responsible for providing:

  • Timely access to the venue
  • Adequate space and setup conditions
  • Necessary utilities (water, electricity)
  • Coordination with venue/building requirements
  • Participant readiness at start time

Failure to meet these requirements may result in delays or reduced service, without refund or adjustment.


5. SEVERABILITY

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
